Exclusive negotiations have commenced between Warner Bros Discovery and the streaming behemoth for a blockbuster acquisition of its core studio and streaming operations, a move that could dramatically alter the film and television landscape.
An Intense Bidding War
The leading streamer is reportedly vying with other industry titans like a rival studio and the cable giant, which owns significant media properties, for control of the iconic Warner Bros studio, the prestigious HBO network, and the Max streaming platform.
Sources indicate the company has offered a hefty termination penalty of $5 billion if the acquisition fail to secure necessary regulatory approval in the US.
The Offer Details
With Warner Bros Discovery shares currently trading at approximately $24 per share, its total market valuation is estimated at around $60 billion. Reports suggest Netflix's offer is between $28 to $30 per share, implying a potential deal worth in the neighborhood of $70bn to $75bn.
Industry experts have cautioned that this consolidation could raise significant competition issues, as it would unite two of the most dominant streaming services in the American market.
Commitments and Corporate Restructuring
As part of its bid, the streamer has reportedly given assurances that the legendary movie lot, home to iconic series like Harry Potter and Batman, would continue to enjoy broad cinema distribution.
Before any potential deal closing, the company is expected to complete a planned spin-off of its cable television channels, such as CNN, TBS, and TNT.
An Entertainment Juggernaut
A successful acquisition, Netflix would become the owner of HBO, creator of award-winning shows including Succession, The White Lotus, The Sopranos, and Game of Thrones, plus an vast archive of beloved TV series.
The studio formally initiated its sale process last fall after attracting interest from multiple suitors.
Voices of Caution
The potential sale has not been without concern. Acclaimed filmmaker James Cameron, director of Titanic and the Avatar series, recently warned that a Netflix acquisition could lead to a "catastrophic loss of long-term value" for the creative sector.
Initially, Paramount was viewed as the early favorite. The company had also offered a $5bn termination fee if regulatory hurdles.
Allegations of an Unfair Process
Recently, the rival bidder argued in a letter that its offer was the one most poised to secure regulatory clearance. Additionally, the studio alleged Warner Bros of conducting an "unfair auction process" that unduly benefited its competitor, calling it "tainted" in legal correspondence.
Officials from Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the current talks.
